We review the company's material contracts — customer and supplier agreements, financing documents, joint ventures, leases and licences — to identify change-of-control provisions, onerous terms and anything requiring disclosure. In parallel, we analyse pending and potential litigation, assessing both the financial exposure and the disclosure obligations each matter carries.
Regulatory & disclosure readiness.
We examine the company's regulatory filings, licences and approvals to confirm they are current and complete, and we prepare the legal disclosures that will form part of the offer document. The objective is a litigation and regulatory section of the DRHP that is comprehensive, accurate and defensible.
